STANDARD TERMS, CONDITIONS, and HOUSE RULES

This is a binding agreement between Sharp Edges Records (“SER” “us” or “we”) and the below-signed individual or company representing named Client (“Client” or “you”). By signing, Client understands and agrees to abide by the conditions and terms described herein:

GENERAL

1.     We shall provide high-quality, professional recording services in accordance with industry standards.

2.     We reserve the right to refuse or terminate services to anyone at any time.

3.     All guests accompanying you during the session must execute this Agreement before session start.

4.     You agree that no individual present at the studio shall engage in any inappropriate, illegal, or disruptive behavior, including but not limited to acts of a sexual nature, nudity, or illegal drug use.

5.     Please respect our neighbors and keep the studio doors closed at all times.

6.     Only the studio engineer may operate any studio gear. You and your guests are expressly prohibited from operating any studio gear without prior written consent.

7.     You agree to leaving the studio how you found it. Failure to do so will result in a $100 cleaning fee.

8.     Smoking is strictly prohibited inside the studio. Vaping is permitted only in designated areas.

9.     Legal drug and alcohol consumption is permitted, but you and your guests agree to do so responsibly. You acknowledge that we will not be held liable for any injury or damage resulting from alcohol consumption.

10.    Food and drinks are allowed in the studio but must not be placed on the studio desk or equipment. Any drinks allowed in the booth must be securely covered between takes.

11.   No session shall extend past 2:00AM unless expressly agreed upon in writing by both parties in advance.

12.   SER has a zero-tolerance policy for any form of harassment. Any such behavior will result in the immediate termination of the session by us or by the engineer, with no refund provided.

13.   If you are not satisfied with any of these services, you agree to notify us immediately with your concerns and we will make reasonable efforts to address and resolve them.

PAYMENT/CANCELLATION

1.     We have a 2-hour booking minimum.

2.     Payment is required to schedule your session.

3.     We require at least 48 hours of notice for any time changes or rescheduling. We will work to reschedule a new time that works for both you and the engineer and will apply your payment to the new session time and date, however, such rescheduled dates are subject to availability.

4.     Cancellations require at least 48 hours of notice. If you cancel the session within 48 hours, or if you don’t show up to your session, you will not receive a refund.

5.     Billing for the session starts from the beginning of your scheduled session time.

6.     Set-up and warm-up is part of your paid scheduled session time.

7.     If you book a session with a senior engineer, please allow a minimum of 30 minutes before the end of your scheduled session time for your engineer to create an end-of-day rough mix for you.

8.     Payment must be caught up at the end of each visit if you exceed your session time, offered only if available.

9.     Scratches, rough mixes, audio or session files will not be released by us until payment is made in full.

10.   In the event that studio time is covered by net payments, or longer payment terms, rates can increase at our discretion.

DELIVERY/PERMISSIONS

1.      We shall deliver your files via a digital link, which will be active for a period of seven (7) days from the date of the session. You acknowledge and agree that failure to download files within this period absolves SER of any further obligation, and SER shall not be liable for any lost files after this time period.

2.     If your work is accidentally lost due to circumstances beyond our control within such time period, SER’s liability shall be limited to a refund of the cost of the studio time used to produce the lost material

3.     You agree that all materials provided to SER are either owned by you, or you have secured appropriate licenses to use such materials in accordance with applicable copyright law. You agree to indemnify and hold harmless SER for any claims, damages, or liabilities arising from copyright infringement.

4.     You agree to credit all professionals involved in the creation, production, or post-production of the material, including but not limited to musicians, engineers, producers, and songwriters, in accordance with industry standards. You are responsible for ensuring that all individuals are properly credited.

SECURITY/ RESPONSIBILITY

1.     You shall indemnify and hold harmless us and/or our parent company and/or affiliated companies from any and all liabilities, claims, damages, costs, expenses, and lawsuits, including those incurred as a result of the contributory negligence of us. You shall hold us harmless for any injuries sustained or incurred by any person, whether or not said person or persons is employed by you or us.

2.     Any damages to the property and the studio’s equipment caused by recklessness or general carelessness will be at your expense. You shall be held financially responsible for anyone you bring into the studio.

3.     You shall cover Loss of Income equal to the base rental rate of lost/damaged property or equipment multiplied by the number of days required to repair or replace lost/damaged item.

4.     SER assumes no liability for articles left behind by you or your guests.

5.     SER recording studio cannot be held responsible for any external disturbances in the likes of construction, storms, public events, or anything outside of our control.

6.     Individuals under 18 must be accompanied by a parent or legal guardian or provide signed written consent from one prior to your session time.

7.     You acknowledge and agree that we have security cameras in operation on the premises of SER recording studio for the safety of all personnel and property. Footage is exclusively used for internal security purposes and, if necessary, as evidence in the event of any accident, theft, damages or unlawful activity that may occur.

8.      SER is committed to providing a safe, respectful, and harassment-free environment. We encourage immediate reporting of any violations. Reports will be treated with the utmost confidentiality, and individuals who make reports will not face retaliation.

RIGHTS

1.     As between you and us, you shall have all right, title and interest, of whatsoever nature, in and to each and every piece of material produced pursuant to this Agreement, in any and all media, whether now known or hereafter developed, in perpetuity.

ASSUMPTION OF RISK

1.     You acknowledge that use of the facility and/or equipment may require you or your employees, representatives, agents, contractors, and vendors to work in close proximity with one another for prolonged hours which may subject you and your personnel to health or safety risk (including, but not limited to, risk of contracting COVID-19).

2.     You, on behalf of yourself and all your personnel, hereby voluntarily, knowingly, and fully accept and assume all health and safety risks associated with you and your personnel’s use of the equipment or facilities.

FORCE MAJEURE

1.     To the extent that as a result of fire, accident, strike, labor condition, riot, war, act of God, act of public enemy, government order, failure of technical facilities or other cause of a similar or dissimilar nature beyond the control of you or us (each a “Force Majeure Event”), we are prevented from furnishing any facilities or equipment, or you are prevented from producing or completing the session as a result of any Force Majeure Event, the same shall not be a breach of this Agreement and neither party hereto shall have any obligation to the other with respect to this Agreement.

WARRANTIES

1.     Both parties warrant and represent that they are free and clear to enter into and fully perform the obligations under this Agreement.

GOVERNING LAW

1.     This Agreement shall be deemed to be executed and delivered in Los Angeles, CA and governed by the laws of the State of California.
